Your contractual partner, nice to meet me OG, Hauserstr. 4, 4040 Linz, will be referred to as “nice to meet me” below.
For the business relationship between you (hereinafter referred to as the customer) and nice to meet me, only the following General Terms and Conditions in their respective valid version shall apply. Nice to meet me does not accept any deviating conditions of the contracting parties, unless their validity is expressly agreed upon. The offers of nice to meet me addressed to companies are exclusively aimed at entrepreneurs.
2.1 The presentation of the goods in any form (online, through an agency, at trade fairs, etc.) does not constitute a binding offer from nice to meet me to the customer. The conclusion of the contract only takes place through the acceptance of the order in the form of an order confirmation by nice to meet me.
2.2 Orders can be placed via the B2B webshop of nice to meet me, by email or telephone.
2.3 Minimum order amount: For orders from the online shop, a minimum order amount of 200 € per order applies.
3.1 The customer agrees to receive invoices in electronic form.
3.2 For the delivery, the list prices at the time of order placement apply. Errors and changes are reserved in consultation with the customer.
3.3 The prices in the online shop are displayed for B2B customers from Austria with VAT and for intra-Community deliveries without VAT. All prices are exclusive of shipping costs.
3.4 For deliveries to countries outside the European Union, additional costs may be incurred in individual cases, which nice to meet me is not responsible for and which the customer must bear. These include, for example, costs for money transfer by credit institutions (e.g. transfer fees, exchange rate fees) or customs duties or taxes (e.g. customs).
3.5 Payment can be made by advance payment, SOFORT transfer, EPS, credit card (3% surcharge), or PayPal (3% surcharge).
3.6 The customer may not resell the goods below the value at which they are offered at the regular price on the website www.nicetomeetme.at by nice to meet me. Exceptions to this are short-term discount promotions or clearance sales.
4.1 Delivery is made by a parcel service to the delivery address provided by the customer, unless otherwise agreed.
4.2 The specified delivery date may vary depending on the current inventory or existing delivery restrictions. Nice to meet me cannot guarantee delivery times. Claims for damages due to delayed deliveries are excluded.
5.1 The goods remain the property of nice to meet me until full payment has been made.
5.2. 5.2 During the period of retention of title, the customer is obliged to handle the goods with care. Furthermore, the customer is obliged to immediately notify nice to meet me of any third-party access to the goods, such as through a seizure, as well as any damage to or loss of the goods, and to notify nice to meet me of any change in possession of the goods.
6.1 During contract fulfillment, nice to meet me reserves the right to make slight deviations from the samples, descriptions, representations, and information in electronic documents, lookbooks, flyers, catalogs, or other written documents regarding color, dimensions, design, and other similar features, if these are reasonable for the customer to accept.
7.1 Obvious defects must be reported in writing within 10 working days after receipt of the goods. With the approval for sale, all claims expire, except for hidden defects. If the customer fails to do so, they lose all claims. nice to meet me initially provides warranty for defects in the goods at its own discretion, either by repairing or replacing the product. The customer bears the full burden of proof for all claim requirements, in particular for the defect itself, the time of discovery of the defect, and the timeliness of the complaint. Claims for direct damages or consequential damages are excluded to the extent legally permissible.
7.2 The warranty is provided according to the statutory provisions. If replacement or improvement is not possible (not feasible, too high a cost, unreasonable, deadline exceeded), the buyer is entitled to a price reduction or, if the defect is not minor, to rescind the contract (rescission).
7.3 nice to meet me covers any shipping costs incurred in the event of a return due to defects. The return must be made after consultation with nice to meet me. However, the customer agrees to avoid unnecessary costs by selecting the appropriate shipping method. The goods must be shipped in a way that provides the best possible protection against transportation damage.
7.4 The warranty expires if the customer performs repairs on nice to meet me products without explicit written confirmation from nice to meet me.
8.1 Except for personal injury, nice to meet me is only liable if gross negligence is proven.
8.2 For damages caused by simple negligence, nice to meet me is only liable if a duty is violated that is of particular importance for achieving the purpose of the contract and if the damages are typical and foreseeable due to the contractual use of the goods. Any liability for further damages, in particular damages not arising from the delivered item itself, loss of profit or other financial loss, is excluded.
8.3 nice to meet me is only liable for its own content on the website. To the extent that nice to meet me enables access to other websites through links, nice to meet me is not responsible for the content contained there.
8.4. 8.4 The statutory liability for defects remains unaffected.
9.1 The buyer shall use all documents (including samples, models, and data) and knowledge obtained from the business relationship with the supplier only for the jointly pursued purposes and shall keep them confidential towards third parties with the same care as if they were his own confidential documents or knowledge, if the supplier designates the documents as confidential or has an obvious interest in their confidentiality. This obligation begins with the first receipt of the documents or knowledge and is unlimited in time.
9.2 The obligation does not apply to documents and knowledge that are generally known or that were already known to the buyer at the time of receipt without being obliged to maintain confidentiality, or that are subsequently transmitted by a third party authorized to do so, or that are developed by the receiving customer without using confidential documents or knowledge.
10.1 The customer acknowledges that the rights to all texts, logos, and images of nice to meet me products are the property of nice to meet me and that explicit consent is required to use them.
The business relationship between the parties is subject exclusively to Austrian law. The jurisdiction agreement applies to domestic and foreign customers alike. The place of performance and jurisdiction for all services and disputes is exclusively the registered office of nice to meet me.
If any provision of these Terms and Conditions is or becomes invalid or contradicts legal provisions, the validity of the remaining provisions shall not be affected. The two parties will replace the invalid provision with one that economically comes as close as possible to the meaning and purpose of the invalid provision. The same applies in case of a contractual gap.
